1.1 These Terms and Conditions (“Terms”) apply to all recruitment services provided by Kamro Limited (“we”, “us” or “our”) to any business customer (“you” or “Client”). 1.2 A binding contract between you and us is formed when you sign a proposal or quotation issued by us, or when you pay any invoice issued by us, whether in full or in part.
1.3 By signing a proposal or making payment, you confirm that you have read and accepted these Terms and that you are authorised to bind the Client. 1.4 We may decline to commence work until payment has been received where required.
1.5 Any terms proposed by you that conflict with these Terms shall have no effect unless expressly agreed in writing by one of our directors.
2.1 Candidates are introduced based on information supplied by candidates and third parties. We do not warrant the accuracy, completeness or honesty of such information unless expressly agreed in writing.
2.2 We may, if agreed, facilitate reference checks or skills assessments. Any results are provided “as is” and without guarantee.
2.3 You are solely responsible for carrying out all necessary checks before engaging a candidate.
2.4 We shall not be liable for any loss arising from candidate misrepresentation, dishonesty, performance or suitability.
3.1 We provide recruitment services including advertising, sourcing, screening, shortlisting and interview coordination.
3.2 We act solely as an introducer and do not employ candidates.
3.3 We do not guarantee that any vacancy will be filled or that any candidate will be suitable.
3.4 We may refuse to act on roles that are unlawful, unclear or unpaid.
4.1 We use third-party systems such as applicant tracking systems, job boards and CV databases.
4.2 We do not control these systems and do not guarantee their availability or performance.
4.3 We are not liable for outages, delays, data incidents or changes imposed by third-party providers.
5.1 Candidate information is provided solely for assessing candidates for the instructed role.
5.2 You must not share, reuse or misuse candidate data or breach data protection laws. 5.3 We may suspend or terminate services where misuse is identified.
6.1 We may provide optional social media materials as part of a campaign. Use of these materials is optional.
6.2 All intellectual property remains ours until all fees are paid.
6.3 Once paid, you are granted a non-exclusive licence to use the materials solely for the relevant vacancy.
6.4 We are not responsible for misuse or modification of social media materials.
7.1 Each party acts as an independent data controller under UK GDPR. 7.2 You are responsible for lawful handling of candidate data once received. 7.3 Our Privacy Notice applies to all processing activities and is available at https://www.kamro.co.uk/privacy-policy.
8.1 Fees are payable for services provided and are not dependent on hiring outcomes. 8.2 No refunds are due where a campaign does not result in a hire.
9.1 You agree to indemnify us against all losses arising from your breach of these Terms, misuse of candidate data or unlawful conduct.
9.2 This does not apply to losses caused by our negligence.
10.1 We may update these Terms from time to time.
10.2 The applicable Terms are those in force at the time of engagement.
11.1 You may not assign your rights without our consent.
11.2 We may assign our rights as part of a business restructure.
12.1 If any provision is unenforceable, the remainder shall remain in effect.
13.1 Notices must be in writing and may be sent by email or post.
14.1 These Terms constitute the entire agreement between the parties.
15.1 Nothing in these Terms creates a partnership, agency or employment relationship.
16.1 These Terms are governed by the laws of England and Wales. 16.2 The courts of England and Wales have exclusive jurisdiction.
