Terms & Conditions

 

These terms of business (“Terms”) apply to Kamro Ltd’s delivery of its online recruitment service to you, The Client.

 

DEFINITIONS


For clarity, we shall refer to Kamro Ltd as “Us”, “We” and “Our” elsewhere in these Terms and will use “You” to refer to you, The Client.

 

  • “Acceptance” means a verbal, written or other form of communication whereby a Candidate accepts or agrees to a Job Offer formally, informally, in principle or otherwise.

  • “Appointment” means where a Job Offer is made, or an employment contract is submitted to a Candidate, or references for a Candidate are sought, or a start date has been set with an individual, or where a Candidate is offered, agrees to perform or performs any services for You or any third party on a permanent, contract, temporary, trial or any other basis, whether internal or external, paid or unpaid; Appoint and Appointed shall be interpreted accordingly.

  • “ATS” refers to our recruitment platform (Applicant Tracking System)

  • “Exclusive Period” means the 4-week period during which You shall use Us as Your sole source of candidates for the Vacancy (applies to our 'Agency' services only).

  • “Interview” means any communication by You with a Candidate either in person, on the telephone, via the internet or any other communication service that is available to both You and the Candidate.

  • “Job Offer” means an offer of employment or engagement made to a Candidate, or an invitation to a Candidate to consider a speculative or potential offer of employment or engagement, whether made verbally, in writing or otherwise, and whether formal, informal, in principle, subject to references, or otherwise.

  • "Gross remuneration" means the total sum of an employee’s annual compensation package, including both basic pay aka salary and financial (pension plans, bonuses, incentive) and non-financial benefits (gym membership, access to counselling services).

SERVICE SUMMARY

 

Kamro Ltd provides an innovative, low cost recruitment solution. Through a mixture of CV searching & resourcing, advertising through job boards and social media, and any other methods of candidate attraction Kamro Ltd aims to provide You with a shortlist of suitable candidates for your vacancy. The options are detailed below and are subject to our terms and conditions being met in full.

 

LIABILITY

 

Kamro Ltd shall not be liable under any circumstances for any loss, expense, damage, delay, costs or compensation (whether direct, indirect or consequential) which may be suffered or incurred by the Client arising from or in any way connected with Kamro Ltd seeking an Applicant for the Client or from the Introduction to or Appointment of any Applicant by the Client or from the failure of the Agency to introduce any Applicant. For the avoidance of doubt, the Agency does not exclude liability for death or personal injury arising from its own negligence.

GUARANTEE

 

There is no guarantee that Kamro will fill your vacancy. Kamro is an outsourced recruitment service which supports you in attracting and engaging with the candidate market and managing the recruitment process on your behalf.

PAYMENT

 

Kamro Ltd's service-fee is due upfront before any work commences (unless agreed otherwise in writing). For clients who purchase a package or one of our Subscription options, You can either pay upfront or You can opt to pay monthly via our approved payment provider GoCardless (https://gocardless.com/)

Failure to pay within these agreed terms shall result in:

(a) Services being suspended or terminated.

(b) Loss of our ‘Placement Replacement’ service.

(c) Full payment requested by Us, which You agree to pay.

(d) Loss of any discount, all discounts are agreed subject to correct payment terms.

(e) Interest being charged and any debt collection fees in accordance with the Late Payments of commercial Debts (Interest) Act 1998 (as amended).

FORCE MAJEURE

 

Kamro shall have no liability to the Client under the Contract if it is prevented from, or delayed in performing, its obligations under the Contract or from carrying on its business by acts, events, omissions or accidents beyond its reasonable control, including (without limitation) strikes, lock-outs or other industrial disputes (whether involving the workforce of the Supplier or any other party), failure of a utility service or transport network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers or subcontractors.

 

LAW

 

These Terms are governed by the law of England & Wales and are subject to the exclusive jurisdiction of the Courts of England & Wales.

HIRE THE TEAM (From £895.00)

 

The 'Hire The Team' service option shall start on the date the vacancy is submitted to your Kamro campaign manager and shall continue: 

  • Until an appointment has been made in accordance with these terms; or 

  • Until you fill the vacancy via any other source, internal or external; or

  • Until you inform us to terminate the service for any other reason in writing; once the service has been terminated it cannot be reinstated; or

  • For a maximum of up to 45 days (subject to T&C’s)

  • Multiple hires shall be charged at the same rate of your chosen service option, unless agreed otherwise in writing.

  • If a candidate referred to you by us subsequently refers any other candidate to you for this vacancy or for any other vacancy, to which you go on to make an appointment this shall be deemed as an appointment from us.

 

With this service You agree to:

 

Actively engage and respond to your campaign managers questions, recommendations and any other form of contact within 4 working days.

  • Use your best efforts to engage and ultimately recruit a candidate for this vacancy.

  • To notify us via phone, email or the ATS of your decision to invite or decline for interview any candidate that has been submitted to you by us, within 4 working days of the date of the candidate referral.

  • To provide us with your interview availability within 4 working days of the date you notify us that you want to interview a candidate, whether that is a face to face interview or any other means of interview.

  • To provide feedback on every Candidate that has been taken to the interview stage.

  • Not to change the vacancy title, location, or description once the service has started. (While We may allow minor changes shortly after the Campaign has started, most changes shall be regarded as fundamental changes to the Campaign).

 

HIRE THE TEAM+ (£995.00)

 

The 'Hire The Team+' service option shall start on the date the vacancy is submitted to your Kamro campaign manager and shall continue: 

  • Until an appointment has been made in accordance with these terms; or 

  • Until you fill the vacancy via any other source, internal or external; or

  • Until you inform us to terminate the service for any other reason in writing; once the service has been terminated it cannot be reinstated; or

  • For a maximum of up to 60 days (subject to T&C’s)

  • Multiple hires shall be charged at the same rate of your chosen service option, unless agreed otherwise in writing.

  • If a candidate referred to you by us subsequently refers any other candidate to you for this vacancy or for any other vacancy, to which you go on to make an appointment this shall be deemed as an appointment from us.

 

With this service You agree to:

HIRE THE TEAM ULTIMATE (From £1495.00)

 

The 'Hire The Team' service option shall start on the date the vacancy is submitted to your Kamro campaign manager and shall continue: 

  • Until an appointment has been made in accordance with these terms; or 

  • Until you fill the vacancy via any other source, internal or external; or

  • Until you inform us to terminate the service for any other reason in writing; once the service has been terminated it cannot be reinstated; or

  • For a maximum of up to 90 days (subject to T&C’s)

  • Multiple hires shall be charged at the same rate of your chosen service option, unless agreed otherwise in writing.

  • If a candidate referred to you by us subsequently refers any other candidate to you for this vacancy or for any other vacancy, to which you go on to make an appointment this shall be deemed as an appointment from us.

 

With this service You agree to:

 SERVICE REQUIREMENTS

 

You understand and agree that in order for Us to be able to deliver the Service effectively and for You to be able to get the best out of the Service, You shall:

  • Only submit Vacancies to Us that are for real and tangible roles and not for roles that are no longer available

  • Manage Your use of the Service in accordance with the Service Option You have selected and in accordance with these Terms.

  • Provide feedback on candidates as soon as reasonably possible.

  • Provide feedback on interviews as soon as reasonably possible.

  • Handle Candidate information in accordance with these Terms.

  • Continue to meet Your Obligations until all Candidates Referred to You have either withdrawn, been Appointed, declined or been notified that they are unsuccessful via the online portal, or failing that, by email, even where You give notice of termination in accordance with these Terms.

 

You acknowledge that if You fail to meet the Service Requirements Our Service delivery will be disrupted which may reduce the likelihood of an Appointment resulting from Your use of the Service.

 

INTERVIEWS

 

  • When you inform us that you would like to invite any candidate(s) for an interview we shall use all reasonable measures in order to arrange the interviews based on the time and dates provided. We shall inform you within a reasonable timescale once an interview has been arranged.

  • Where you have chosen to arrange your own interviews, you will ensure to notify us by email of the details of the interview, including time, date and location once it has been arranged.

  • You acknowledge that we are not able to guarantee the attendance of any candidate for an interview and that we shall have no liability for the failure of a candidate to attend an interview or respond to any interview request.

 

PLACEMENT REPLACEMENT SERVICE

 

If:

  • You have complied fully with these Terms, by meeting all of our T&C’s; and

  • You have immediately notified us of the Appointment in writing, via the ATS or email, and;

  • The Candidate terminates their employment with You (whether by provision of written notice or by ceasing to attend Your offices or place of work) within 30 days of the start date that You have agreed with the Candidate and You have noticed Us of such start date; or 

  • The Candidate fails to start work on the date that You have agreed with the Candidate and You have notified Us of such start date;​

  • You will then:

  • Be eligible for a re-run of your chosen service option to help find a replacement. This will be for a further period of up to 45 days for the 'Hire the Team' service option, 60 days for the 'Hire the Team+' and 90 days for the ‘Hire the Team Ultimate’, provided that You continue to comply in accordance with these Terms. Within the Placement Replacement period, You will not be required to pay any additional Fee following a new Appointment to the Vacancy (this applies to one new Appointment only) as a result of using the Placement Replacement Service.

 

The Placement Replacement Service cannot be applied to an Appointment made as a result of the Placement Replacement Service, an Appointment made on a temporary and/or contract basis, an Appointment made on a vacancy different to the Vacancy, or by a placement made by any other means than Us.

 

REFUNDS OR CANCELLATIONS

 

Due to the nature of our service and the costs incurred by Us in providing this service to You, please note that neither You nor any third party shall be entitled to a refund of the Fee in any circumstances.
